You also accept and agree to be bound by Inspirange Electronics Policies set out in the website and as amended from time to time. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Entity’s stated services, in accordance with and subject to, prevailing law of Nepal. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User” and “you/your” shall refer to such entity. You acknowledge that this Agreement is a contract between you and the Inspirange Electronics , even though it is electronic and is not physically signed by you, and it governs your use of the Services, creating a binding obligation for you.

Inspirange Electronics will make best effort to make the services available without any disruptions but there might be down times wherein Inspirange Electronics shall not take any responsibility. Additionally, Inspirange Electronics can block access to user if certain violation or trigger events occur
Membership Eligibility
Use of the Site is available only to persons who can form legally binding contracts under applicable law. Persons who are “incompetent to contract” as per Contract Acts are not eligible to use the Site. If you are a minor i.e. under the age of 18 years but at least 13 years of age you may use this Site only under the supervision of a parent or legal guardian who agrees to be bound by these Terms of Use. If your age is below that of 18 years your parents or legal guardians can transact on behalf of you if they are registered users/members. You are prohibited from purchasing any material which is for adult consumption the sale or purchase of which to/by minors are strictly prohibited. Inspirange Electronics reserves the right to terminate your membership and refuse to provide you with access to the Site if Inspirange Electronics discovers that you are under the age of 18 years. The Site is not available to persons whose membership has been suspended or terminated by Inspirange Electronics for any reason whatsoever. If you are registering as a business entity, you represent that you have the authority to bind the entity to this User Agreement. Those who choose to access this Site from outside Nepal are responsible for compliance with local laws if and to the extent local laws are applicable. Inspirange Electronics will deliver the products only within its jurisdiction and will not be liable for any claims relating to any products ordered from outside its jurisdiction. Except where additional terms and conditions are provided which are product specific, these terms and conditions supersede all previous representations, understandings, or agreements and shall prevail notwithstanding any variance with any other terms of any order submitted. By using the services of Inspirange Electronics you agree to be bound by the Terms and Conditions.
Account and Registration Obligations
“Your Information” is defined as any information you provide to us in the registration, buying or listing process, in the feedback area or through any email feature. We will protect Your Information in accordance with our Privacy Policy. If you use the Site, you are responsible for maintaining the confidentiality of Your Account and Password and for restricting access to your computer, mobiles, tablets or any other electronic mediums from where our services is accessible and you agree to accept responsibility for all activities that occur under Your Account or Password. Inspirange Electronics shall not be liable to any person for any loss or damage which may arise as a result of any failure by you to protect your password or account. If you know or suspect that someone else knows your password you should notify us by contacting us immediately through the address provided below. If Inspirange Electronics has reason to believe that there is likely to be a breach of security or misuse of the Site, we may require you to change your password or we may suspend your account without any liability to Inspirange Electronics.
You also agree to:
1. Provide true, accurate, current and complete information about yourself as prompted by Inspirange Electronics’s registration form (such information being the “Registration Data”) 2. Maintain and promptly update the Registration Data to keep it true, accurate, current and complete.
If you provide any information that is untrue, inaccurate, incomplete, or not current or if Inspirange Electronics has reasonable grounds to suspect that such information is untrue, inaccurate, and not current or not in accordance with the User Agreement, Inspirange Electronics has the right to indefinitely suspend or terminate your membership and refuse to provide you with access to the Site.
Pricing Information
While Inspirange Electronics strives to provide accurate product and pricing information, pricing or typographical errors may occur. Inspirange Electronics cannot confirm the price of a product until after you order. In the event that a product is listed at an incorrect price or with incorrect information due to an error in pricing or product information, Inspirange Electronics shall have the right, at our sole discretion, to refuse or cancel any orders placed for that product, unless the product has already been dispatched. In the event that an item is wrongly priced, Inspirange Electronics may, at its discretion, either contact you for instructions or cancel your order and notify you of such cancellation. Unless the product ordered by you has been dispatched, your offer will not be deemed accepted and Inspirange Electronics will have the right to modify the price of the product and contact you for further instructions using the e-mail address provided by you during the time of registration, or cancel the order and notify you of such cancellation. In the event that Inspirange Electronics accepts your order the same shall be debited to your credit card account, bank account or other third-party payment portals and duly notified to you by email or push notifications or messages that the payment has been processed. The payment may be processed prior to Inspirange Electronics dispatch of the product that you have ordered. If we have to cancel the order after we have processed the payment, the said amount will be reversed back to your account. No cash disbursement shall be made under any condition whatsoever. We strive to provide you with the best prices possible on Inspirange Electronics as well as in all our stores under Inspirange Electronics. Prices and availability are subject to change without prior notice.
Delivery
It takes 2 – 5 business days to deliver your order within Kathmandu Valley and takes 3-8 business days to deliver within any part of Nepal beyond Kathmandu valley. Delivery outside Kathmandu Valley are subjected to additional charges based on the category of the products.
Cancellation by Inspirange Electronics
Please note that there may be certain orders that we are unable to accept and must cancel. We reserve the right, at our sole discretion, to refuse or cancel any order for any reason. Some situations that may result in your order being canceled include limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, or problems identified by our credit and fraud avoidance department, cases where we find that the customer is manipulating the account to place multiple orders. We may also require additional verifications or information before accepting any order. We will contact you if all or any portion of your order is canceled or if additional information is required to accept your order. If your order is cancelled after your account has been charged, the said amount will be reversed back in your Account. No cash disbursement shall be made under any condition whatsoever.
Quality check
In order to ensure top quality customer experience, we do a quality check on orders dispatched at our end. If we find any fault in the product(s) in your order, we reserve the rights to cancel the order partially or fully. On such cases, we shall notify you about the same.
Cancellations by the Customer
In case we receive a cancellation notice and the order has not been processed/approved by us, we shall cancel the order and refund the entire amount. We will not be able to cancel orders that have already been processed and shipped out by us. Inspirange Electronics has the full right to decide whether an order has been processed or not. The customer agrees not to dispute the decision made by Inspirange Electronics and accept Inspirange Electronics’s decision regarding the cancellation.
PLATFORM FOR COMMUNICATION
You agree, understand and acknowledge that the Site is an online platform that enables you to purchase products listed at the price indicated therein at any time from any location using a payment method of your choice. You further agree and acknowledge that we are only a facilitator and cannot be a party to or control in any manner any transactions on the Site or on a payment gateway as made available to you by an independent service provider. Accordingly, the contract of sale of products on the Site shall be a strictly bipartite contract between you and the sellers on our Site while the payment processing occurs between you, the service provider and in case of prepayments with electronic cards your issuer bank. Accordingly, the contract of payment on the Site shall be strictly a bipartite contract between you and the service provider as listed on our Site.
User content
We do not own any data, information or material (collectively, “Content”) that you submit on the Services in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Services submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. You also grant us the license to use, reproduce, adapt, modify, publish or distribute the Content to a third-party created by you or stored in your user account for commercial, marketing or any similar purpose.
Backups
Regular backups of the Website and its content is done by us, however, these backups are for our own organizational purposes only and are not guaranteed in any manner. You are responsible for maintaining your own backups of your data. We do not provide any sort of compensation for lost or incomplete data in the event that backups do not function properly.
Prohibited uses
In addition to other terms as set forth in the Agreement, you are barred from using the Services or Content: (a) for any unlawful act; (b) to instigate others to perform or partake in any unlawful acts; (c) to violate any international, national, provincial regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate in any manner, or disability; (f) to upload counterfeited, wrong or misleading information; (g) to upload or transfer viruses or any other type of malware that will or may be used in any way that will disrupt the functionality or smooth operation of the Services including third party products and services, or the Internet; (h) for any obscene or immoral purpose; or (i) to interfere with or circumvent the security features of the Services, third party products and services, or the Internet. We reserve the right to terminate your use of the Services for violating any of the prohibited uses. If any liability arises due to the above-mentioned reasons, then the user agrees to take full responsibility.
YOUR SUBMISSION
All the comments, reviews, questions, complaints, suggestions or any other informations (collectively, “submissions”) that you provide to us while accessing our service will be our sole and exclusive property and are made public. In addition, your submissions to our site would also grant us the right to use the name that you submit, in connection with such review, comment, or other content. Indemnity
You agree to defend, indemnify and hold harmless Inspirange Electronics, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney’s fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to Inspirange Electronics or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of your obligations under this User Agreement or arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of this User Agreement.
Transaction Currency:
The standard transaction currency on our e-commerce portal is Nepali Rupees (NPR). If the customer is using a credit card supplied by banks other than those in Nepal or any other electronic payment portals that are acceptable to the Inspirange Electronics and are legal in Nepal, the amount on such account bill may differ due to exchange rate fluctuations and any charges that the card issuer/bank/payment portals may have debited.

Acceptance of these terms

You furthermore agree that the Site shall not be liable to you or to any other person as a result of any such suspension or termination. Dispute management
For any disputes or difference either in interpretation or otherwise, of any terms of this User Agreement between the parties hereto, firstly the disputes would be resolved through the mutual consent between parties.
IF the mutual consent could not resolve the dispute between the parties within 60 days shall be governed by the substantive and procedural laws of Nepal without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Nepal. Each party irrevocably agrees that any dispute in connection be settled by Arbitration in accordance with UNCITRAL Arbitration Rules for the time being in force, and administered by NEPCA in the following manner:
- The number of arbitrators shall be three (3). The arbitrator shall not be a present or former employee, agent, consultant or advisor of the parties or their affiliates.
- Each Party shall appoint a one arbitrator and the arbitrators appointed by the Parties shall appoint a third arbitrator who shall ne the chairperson of the arbitral tribunal.
- If a party fails to appoint an arbitrator or the arbitrators appointed fail to choose a third arbitrator, such arbitrator shall be appointed by NEPCA, failing which shall be appointed in accordance with the laws of Nepal.
- Venue and seat of the arbitration shall be Kathmandu, Nepal.
- The decision of the arbitration shall specify how the expenses of the arbitration shall be allocated between the parties.
- The arbitration award shall be final and binding upon the parties, and decree on such award may be entered in any court having jurisdiction.
Notwithstanding anything mentioned elsewhere in this document, the parties shall have the right to seek injunctive or equitable relief available under applicable laws from the competent courts of Nepal having jurisdiction on the matter thereof.
Governing laws and jurisdiction
This User Agreement shall be construed and governed in accordance with the applicable laws of Nepal. The Courts of Nepal (Supreme court, high courts and District courts) shall have exclusive jurisdiction in any proceedings arising out of this agreement.
Disclaimer
To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website. Nothing in this disclaimer will:
- limit or exclude our or your liability for death or personal injury;
- limit or exclude our or your liability for fraud or fraudulent misrepresentation;
- limit any of our or your liabilities in any way that is not permitted under applicable law; or
- exclude any of our or your liabilities that may not be excluded under applicable law.
The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort and for breach of statutory duty.
